Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 on 30 September 2016 the shareholders of the Company passed the following resolutions as a Special Resolution and as Ordinary resolutions:

“That it has been proved to the satisfaction of this meeting that the Company is insolvent and that it is advisable to wind up the same, and, accordingly, that the Company be wound up voluntarily and that Kenneth W Pattullo, of Begbies Traynor (Central) LLP, 3rd Floor, Finlay House, 10-14 West Nile Street, Glasgow G1 2PP and Ian McCulloch, of Begbies Traynor (Central) LLP, 1 Winckley Court, Chapel Street, Preston, PE1 5BU, (IP Nos. 008368 and 18532), be and are hereby appointed joint liquidators of the Company for the purpose of such winding up.”
