PURSUANT TO SECTION 282 AND 283 OF THE COMPANIES ACT 2006 AND SECTION 84(1)(C) AND 100 OF THE INSOLVENCY ACT 1986

At a GENERAL MEETING of the above named Company, duly convened and held at 2 Nelson Street, Southend-on-Sea, Essex, SS1 1EF, United Kingdom, on 16 June 2016, the following resolutions were duly passed as a special and an ordinary resolution, respectively:

1. “That it has been resolved by special resolution that the company be wound up voluntarily.”

2. “That Deborah Ann Cockerton of DCA Business Recovery LLP, 2 Nelson Street, Southend-on-Sea, Essex, SS1 1EF, United Kingdom be appointed liquidator of the company for the purposes of the winding-up”.

At the subsequent meeting of creditors held at the same place on the same date, the creditors nominated and appointed an alternative Liquidator, and the following resolution was passed as an ordinary resolution:

1. “That Thomas Gardiner of Antony Batty & Company LLP, Swan House, 9 Queens Road, Brentwood, Essex, CM14 4HE be appointed liquidator of the company for purposes of the winding-up.
