“That it has been proved to the satisfaction of the meeting that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily and that David Ingram and Ian Richardson, both of Grant Thornton UK LLP, 30 Finsbury Square, London, EC2P 2YU, (IP Nos 8015 and 9580) were appointed Joint Liquidators for the purpose of such winding up.”
