1. A Special Resolution THAT the Company be wound up voluntarily.

ORDINARY

2. An Ordinary Resolution THAT Robert Cundy of RJC Financial Management Limited, Hayes House, 6 Hayes Road, Bromley, Kent BR2 9AA be and is hereby appointed as Liquidator for the purposes of the winding up.

At the statutory meeting of creditors duly convened and subsequently held, the above resolutions were duly confirmed.
