Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, on 13 September 2016 the shareholder of the Company passed the following resolutions as a Special Resolution and as an Ordinary Resolution:

“That it has been proved to the satisfaction of this Meeting that the Company is insolvent and that it is advisable to wind up the same, and, accordingly, that the Company be wound up voluntarily and that Kenneth R Craig and Kenneth W Pattullo, both of Begbies Traynor (Central) LLP, 3rd Floor, Finlay House, 10-14 West Nile Street, Glasgow G1 2PP, (IP Nos 008584 and 008368) be and are hereby appointed joint liquidators of the Company for the purpose of such winding up.”
