At a General Meeting of the Members of the above-named Company, duly convened and held at:- Purnells, 5&6 Waterside Court, Albany Street, Newport, South Wales, NP20 5NT on 5 July 2016 the following Resolutions were duly passed, number 1 as a Special Resolution and number 2 as an Ordinary Resolution:-

1. That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind-up the same, and accordingly that the Company be wound up voluntarily, and that:-
